Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dagzer's workflow automation platform, including all related services, features, and content. Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using the Services provided by DAGZER ("Dagzer," "we," "us," or "our"), you agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific features or services.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" as used in these Terms will refer to that organization.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of our Services after any changes constitutes your acceptance of the modified Terms.

Important: Please review these Terms carefully. By using our Services, you acknowledge that you have read, understood, and agree to be bound by them.

2. Description of Service

Dagzer provides a cloud-based workflow automation platform that enables organizations to design, build, deploy, and manage automated workflows and integrations. Our Services include:

  • Workflow Orchestration: Visual workflow builder for designing and managing complex automation sequences
  • AI Agents: Intelligent automation agents powered by artificial intelligence for autonomous task execution
  • Integration Hub: Pre-built connectors and APIs for integrating with third-party applications and services
  • Real-time Monitoring: Dashboard and analytics for tracking workflow performance and execution
  • Developer Tools: SDKs, APIs, and documentation for custom integrations and extensions
  • Enterprise Features: Advanced security, governance, and collaboration capabilities

The specific features and functionalities available to you will depend on your subscription plan and the services you have purchased. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.

3. Account Registration

3.1 Account Creation

To use our Services, you must:

  • Register for an account by providing accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

3.2 Eligibility

Use of the Service is open to individuals and entities. There is no minimum age requirement; however, users under the age of 18 should use the Service under the supervision of a parent or legal guardian. If you are an individual acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@dagzer.com if you suspect any unauthorized use of your account or any other security breach.

Important: You may not create multiple accounts to circumvent service limitations or restrictions. Each user must maintain their own individual account.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

4.1 Prohibited Activities

  • Use our Services for any unlawful purpose or in violation of any laws or regulations
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Interfere with or disrupt the integrity or performance of our Services
  • Transmit viruses, malware, or any other malicious code
  • Collect or harvest personal information of other users without consent
  • Use our Services to send spam, phishing, or other unsolicited communications
  • Reverse engineer, decompile, or disassemble our software
  • Resell, lease, or sublicense our Services without authorization
  • Circumvent any technological measures used to protect our Services
  • Use our Services to infringe upon the intellectual property rights of others

4.2 Content Restrictions

You may not upload, store, or transmit content that:

  • Is illegal, harmful, threatening, abusive, harassing, or defamatory
  • Infringes upon the intellectual property or privacy rights of others
  • Contains malware, viruses, or other harmful components
  • Promotes discrimination, bigotry, or hatred based on race, religion, gender, or other protected characteristics
  • Discloses sensitive personal information without authorization

4.3 Enforcement

We reserve the right to investigate and take appropriate action against any violation of this Acceptable Use Policy. This may include suspending or terminating your account, removing content, and reporting violations to law enforcement authorities.

5. Subscription and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. The specific terms of your subscription, including billing cycle, renewal, and cancellation policies, will be provided at the time of purchase and are incorporated into these Terms by reference.

5.2 Payment Terms

  • Payment is due in advance for all subscription services
  • We accept major credit cards, debit cards, and other payment methods as specified
  • All fees are non-refundable except as expressly stated in these Terms or as required by law
  • Prices are subject to change with 30 days' notice before the next billing cycle

5.3 Auto-Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew at the then-current rate. You will receive notice of any price changes before renewal.

5.4 Taxes

You are responsible for all applicable taxes associated with your use of our Services. If required by law, we will collect taxes at the point of purchase. Otherwise, you agree to pay all applicable taxes directly.

5.5 No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or downtime unless required by applicable law. You may cancel your subscription at any time, but you will not receive a refund for any remaining time on your subscription.

5.6 Free Trials

We may offer free trial periods for new users. Free trials may have limitations and are subject to separate terms. At the end of a free trial, your account may be converted to a paid subscription unless you cancel before the trial period ends.

6. Intellectual Property

6.1 Our Rights

Dagzer and its licensors own all right, title, and interest in and to our Services, including all intellectual property rights. This includes, but is not limited to, our software, designs, logos, trademarks, trade names, documentation, and all content, features, and functionality provided through our Services.

6.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use our Services for your internal business purposes
  • Use our documentation and developer tools as provided
  • Create workflows and integrations using our platform

6.3 Restrictions

You may not:

  • Copy, modify, or distribute our software or content
  • Rent, lease, lend, or sublicense access to our Services
  • Use our Services to create a competing product or service
  • Remove any proprietary notices from our Services
  • Use our trademarks without prior written consent

7. User Content

7.1 Ownership

You retain ownership of any content, data, or materials you upload, create, or store on our Services ("User Content"). This includes workflows, configurations, scripts, and any other content you create using our platform.

7.2 License to Dagzer

By uploading or creating User Content, you grant Dagzer a limited, worldwide, non-exclusive license to use, store, and process your User Content solely for the purpose of providing our Services to you. This license terminates when your User Content is deleted or your account is terminated.

7.3 Responsibility

You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that your User Content does not violate any laws, regulations, or the rights of others. We are not responsible for any User Content posted or shared through our Services.

7.4 Data Retention

We will retain your User Content while your account is active. Upon account termination, we will delete your User Content within 30 days, unless required by law to retain it longer or as otherwise specified in your subscription agreement.

7.5 Public Workflows (Free Users)

If you are a free-tier user and choose to make your workflows public:

  • Gallery Display: You grant Dagzer permission to display your public workflows in our template gallery or similar showcases.
  • Marketing Use: You grant Dagzer permission to use, share, and promote your public workflows for marketing and promotional purposes.
  • Community Forking: Other users may fork, copy, or use your public workflows within the Service.

8. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party, including business strategies, technical information, customer data, and pricing details. Confidential information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law or to authorized employees who need such information for performance of their duties.

This obligation of confidentiality shall survive the termination of these Terms for a period of three (3) years. Neither party shall use the other party's confidential information for any purpose other than exercising its rights and obligations under these Terms.

9. Disclaimers

9.1 "As Is" Basis

Our Services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that our Services will be uninterrupted, secure, or error-free.

9.2 Third-Party Services

Our Services may integrate with or link to third-party services. We are not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

9.3 No Financial Advice

Our Services are not intended to provide financial, investment, legal, or tax advice. You should consult with qualified professionals before making any decisions based on information obtained through our Services.

Disclaimer: Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. However, the above disclaimers apply to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Dagzer, its officers, directors, employees, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

  • Your use or inability to use our Services
  • Any errors, omissions, or interruptions in our Services
  • Any unauthorized access to or alteration of your data
  • Any third-party conduct on our Services
  • Any content obtained through our Services

10.1 Liability Cap

Our total liability for any claims arising from or related to the Service shall not exceed:

  • For paid subscriptions: The total amount of fees you paid to Dagzer in the six (6) months immediately preceding the event giving rise to the claim.
  • For free accounts: One hundred dollars ($100 USD).

This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other theory.

Note: Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dagzer, its officers, directors, employees, agents, suppliers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your User Content
  • Any claim that your User Content infringes the intellectual property or other rights of a third party

We reserve the right to assume exclusive defense of any matter subject to indemnification, in which case you will cooperate fully with us. The indemnification obligations under this section will survive the termination of these Terms.

12. Termination

12.1 Termination by You

You may terminate your account and subscription at any time through your account settings or by contacting us. Upon termination, your right to use our Services will immediately cease. You will not receive a refund for any prepaid fees, except as otherwise provided in these Terms or required by law.

12.2 Termination by Us

We may suspend or terminate your account and access to our Services at any time, with or without cause, with or without notice. This includes, but is not limited to, termination for breach of these Terms, inactivity, or if we discontinue the Services.

12.3 Effects of Termination

Upon termination:

  • Your right to use our Services will immediately cease
  • We will delete your User Content within 30 days (unless otherwise required)
  • All provisions of these Terms that by their nature should survive termination will remain in effect
  • You remain responsible for any fees incurred before termination

Warning: Termination may result in loss of data that cannot be recovered. We recommend exporting your data before terminating your account.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must terminate your account and discontinue use of our Services.

We encourage you to review these Terms periodically. We will maintain an archive of previous versions of these Terms on our website.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.1 Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be resolved through:

  1. Good Faith Negotiation: The parties shall attempt to resolve the dispute through good faith negotiation within 30 days.
  2. Mediation: If negotiation fails, the parties shall submit to mediation by a mutually agreed mediator.
  3. Arbitration: If mediation fails, the dispute shall be resolved through binding arbitration in Raipur, Chhattisgarh, India, in accordance with the Arbitration and Conciliation Act, 1996.

14.2 Jurisdiction

Subject to the dispute resolution provisions above, the courts in Raipur, Chhattisgarh, India shall have exclusive jurisdiction over any disputes arising from these Terms.

14.3 Export Compliance

You agree not to export, re-export, or transfer any part of our Services or any related technical information in violation of applicable export laws or regulations.
